1 - SCOPE OF APPLICATION

These general terms and conditions of service and use govern the use of the SoGuide platform put online by GLOBE SECRET, a simplified joint stock company, registered with the Paris Trade and Companies Register under number 527 638 720, whose head office is located at 8, square de La Tour-Maubourg 75007 Paris, France. They define the rights and obligations of GLOBE SECRET on the one hand and the users of the SoGuide platform on the other hand.

2 – DEFINITIONS

"Member": any natural person, major or minor, acting for personal purposes, i.e. who does not enter the framework of their commercial, industrial, artisanal, liberal or agricultural activity having proceeded to create an account on the SoGuide platform

"SoGuide Platform": refers to the entirety of the https://so-guide.com/ site

"Traveler": person who accesses the SoGuide platform with the objective of searching for a Guide with whom they will organize a trip

"Guide": person selected by SoGuide who is the subject of a guide sheet for one or more given countries present on the SoGuide platform and offering their tourist services to Travelers (Cultural Guide, Adventure Guide, Driver)

"Content": refers to all the pages of the SoGuide platform, to all the files, texts, images and hypertext links that appear there.

"Account": designates the individual account created by the Traveler when registering on the SoGuide platform

3 - SERVICE CONDITIONS FOR USERS

These Terms of Service and Use for users (the "Terms") are a legally binding contract between you and GLOBE SECRET that governs your right to use GLOBE SECRET's websites, applications, and other offers (collectively, the "SoGuide Platform"). When used in these terms, the terms "GLOBE SECRET", "we", "us", or "our" refer to GLOBE SECRET mentioned in § 1 of these.

The SoGuide Platform offers an online tool that allows users, called "Members" after they have regularly registered on the SoGuide platform, to publish, offer, search and book services. Members who publish and offer services are "Guides" and Members who search, book or use services are "Travelers".

The Guides offer tourist services such as visits, transportation, accommodation, activities, excursions, and events, as well as a variety of travel services. As a provider of the SoGuide Platform, GLOBE SECRET does not own, control, offer, or manage the Guide Services or the Guides' advertisements for the services they offer.

GLOBE SECRET is not a party to the contracts concluded directly between the Guides and the Travelers, and therefore is neither a real estate agent, nor a travel agency, nor an insurer, nor an organizer or retailer of organized trips under the directive (EU) 2015/2302.

GLOBE SECRET does not act as an agent for any Member, except as provided in the Payment Terms ("Payment Terms"). For more information about GLOBE SECRET's role, see Article XXX 1

GLOBE SECRET applies other Conditions and Policies complementary to these Terms, including its Privacy Policy, which describes its collection and use of personal data 2, and its Payment Terms, which govern all payment services provided to Members by the payment system 3. 4 - ACCEPTANCE AND OPPOSABILITY

Travelers who subscribe online to a service with a Guide are deemed to have taken knowledge, understood and accepted without reservation the terms of these general conditions, which represent the entirety of the agreement between Travelers and Guides.

These conditions will prevail over all other conditions appearing in any other document, unless otherwise stated in writing by GLOBE SECRET.

GLOBE SECRET reserves the right to modify the Terms of Service and Use at any time.

In this case, the new Terms of Service and Use will be brought to the attention of Members by online modification and will apply exclusively to uses and services provided after the modification.

The Terms of Service and Use in French and in force are accessible at all times on the SoGuide platform and are subject only to French law. In the event of a dispute, the French courts will be the only competent ones.

Any contrary condition not accepted by GLOBE SECRET is inopposable to it. The fact that GLOBE SECRET does not avail itself of one of these Terms of Service and Use does not mean that GLOBE SECRET waives its right to invoke it later.

In the event of non-compliance with the terms of these Terms of Service and Use, GLOBE SECRET reserves the right to take any measures necessary to preserve its interests and in particular to ensure their execution. GLOBE SECRET may then summon Members to civil and/or criminal liability.

5 – DESCRIPTION OF SERVICES

5.1 - Role of GLOBE SECRET

GLOBE SECRET makes a digital marketplace available to individuals that allows them, through the SoGuide platform

https://so-guide.com/to get in touch with Guides selected by GLOBE SECRET with the aim of organizing a trip.

GLOBE SECRET thus offers Users the right to use a platform that allows Guides to publish, offer, tourist services and Travelers to search and book these tourist services.

The services offered are in particular the following: (i) Online posting of information, advice, and practical sheets concerning destinations, (ii) Putting in touch with local guides for the purpose of creating customized trips, (iii) Making a secure payment system available 4 (coming soon), (iii) Online posting of information on travel insurance and online subscription to travel insurance in connection with the trip created and contracted with the Guide (coming soon 5), (iv) Online posting of testimonials, comments and reviews.

When Travelers make a booking and when Guides accept a booking, they conclude a contract between them directly. GLOBE SECRET is therefore not and does not become a party to any contract passed between Members.

GLOBE SECRET does not act as an agent for any Member, except when GLOBE SECRET acts as a collection agent as provided in the Payment Terms. 6

Although GLOBE SECRET does its best to ensure that Members have excellent experiences thanks to the provision of the SoGuide platform, GLOBE SECRET does not control and cannot control the behavior of Travelers and Guides and cannot guarantee (i) the existence, quality, safety, relevance or legality of the advertisements posted or services offered by the Guides (ii) the veracity or accuracy of the descriptions of the advertisements, comments or other content provided by Members.

Members acknowledge that GLOBE SECRET has the right to check the content, disable their access, delete or modify any content for: (i) operating, securing and improving the SoGuide platform (including for the prevention of fraud, risk assessment, conducting investigations or assisting Users) ; (ii) ensuring Members' compliance with these Terms ; (iii) complying with applicable law or a court order, law enforcement or other administrative or governmental body ; (iv) treating Member content that it deems harmful or objectionable ; (v) taking the measures set out in these Terms ; and (vi) maintaining and applying any quality or eligibility criteria, including removing listings that do not meet the quality and eligibility criteria.

When GLOBE SECRET deletes or disables content, it informs the concerned Member and gives the reasons for this decision unless this notification (i) prevents or hinders the discovery of fraud or other unlawful activity, (ii) harms the legitimate interest of other Members or third parties, or (iii) violates applicable law. 5.2 – Member Accounts

Members must create an account to access the features of the SoGuide platform and use them.

Registration is only authorized for individuals aged 18 or over.

Members who are Guides are subject to additional conditions in accordance with Article 7 of these Terms.

Members must provide accurate and complete information when registering, and keep their account information up to date. They are prohibited from transferring their account to someone else. It is their responsibility to preserve the confidentiality and security of their account identifiers, and they are prohibited from disclosing their identifiers to any third party. They must immediately inform GLOBE SECRET if they suspect that their identifiers have been lost, stolen, or that their account is otherwise compromised. Members are responsible for all activities carried out with their SoGuide Account.

If applicable law permits, GLOBE SECRET may request Members, but has no obligation to (i) request that they provide identification or other information, (ii) undertake checks to help verify their identity or background, (iii) compare the information provided to third-party databases or other sources and request reports from service providers, and (iv) obtain reports from public conviction records or sex offender registries or their local equivalents.

6 - ACCESS AND USE OF THE SITE AND APPLICATION

The SoGuide platform allows users to access its content and proposed services.

Users are personally responsible for setting up the computer and telecommunications equipment necessary to access the SoGuide platform.

Users bear the costs of telecommunications when accessing the Internet and the SoGuide platform.

Users can consult the platform's content and, after creating their account, benefit from its services for strictly private and non-collective use.

This right is limited to the right to print, record or save any element of the content for their personal use only.

Any networking, rebroadcasting, exploitation in a professional or commercial context, or any marketing of any element of the content to third parties, in any form, is strictly prohibited unless prior agreement from GLOBE SECRET.

The use of the platform, in accordance with these Terms of Service and Use, is free for Members.

Members are prohibited from using robot software or any other equivalent automated tool to navigate the SoGuide platform.

Only Members who have the status of Guides, selected by GLOBE SECRET, can use the SoGuide platform for professional and commercial purposes. Members with the status of Guide are subject to additional conditions in accordance with Article xxx of these Terms. Furthermore, approval agreements contracted with GLOBE SECRET specify the exceptions they benefit from.

7 - LINKS TO THIRD-PARTY SITES

The use of the SoGuide platform may lead Members, through the use of hyperlinks, to third-party sites, independent of SoGuide and having their own general terms of service and use. These third-party sites are not edited by GLOBE SECRET. GLOBE SECRET is therefore not responsible for the consequences that may result from the content of third-party sites linked to the SoGuide platform.

GLOBE SECRET assumes no liability for the content, information, advertisements, products, and services or any other tools available on or from external sites or sources.

GLOBE SECRET cannot be held responsible for any consequential damage or in relation to the use of hyperlinks offered on the SoGuide platform.

By connecting their account to an account opened on a third-party site (such as Facebook, Google, LinkedIn, etc.), Members accept that the personal data they have made accessible on the third-party site may be collected and processed by GLOBE SECRET, with GLOBE SECRET undertaking not to communicate this data to third parties.

8 - LIABILITY OF SOGUIDE

The liability of GLOBE SECRET and/or third parties cannot be engaged as a result of the content posted online, their consultation, or their use, nor with regard to any direct or indirect harm of any nature whatsoever related to the consultation or use of the SoGuide platform or its applications, and this in a non-limitative manner.

GLOBE SECRET cannot be held responsible for any damage, of any nature whatsoever, related to the relevance of all or part of the content. As an Internet content host, GLOBE SECRET is not required to control the content presented by its Members for the purpose of monitoring or detecting illicit or fraudulent activities.

Each Member uses the SoGuide Platform at their own risk. The liability of GLOBE SECRET, as well as that of third parties who provide information and elements for publication on the SoGuide platform, cannot be engaged for any harm or damage of any nature whatsoever, resulting from the use that would be made of the SoGuide platform by its users.

The SoGuide platform is hosted by the O2Switch server https://www.o2switch.fr/. GLOBE SECRET cannot be held responsible for any interruption of this service provided by O2Switch. It cannot be held responsible for any direct or indirect damage originating from a malfunction of this service.

All information and data disseminated on the SoGuide platform are provided for informational purposes only. The provision of this data cannot be assimilated, in any way, to specific advice or assistance in making a decision for the purpose of carrying out a transaction.

The photographs and texts reproduced and illustrating the products presented are not contractual. Consequently, the liability of GLOBE SECRET cannot be engaged in the event of an error in one of these photographs or one of these texts.

GLOBE SECRET nor any of its partners can be held responsible for any damage, direct or indirect, consequential, special, ancillary, dissuasive that may result from errors, omissions, or delays in the transmission of said information, loss of information, or problems that may arise during electronic payments.

GLOBE SECRET and/or its partners cannot be held responsible for the non-performance or poor performance of contracts concluded between Travelers and Guides, for any reason whatsoever.

9 - INTELLECTUAL PROPERTY

All content (text, images, photographs, infographics, slideshows, videos, etc.) made available on the SoGuide platform is protected by intellectual property rights.

The reproduction of one or more of the content present on the SoGuide platform, in whole or in part, is subject to prior and explicit authorization from GLOBE SECRET.

The violation of these imperative provisions constitutes a counterfeiting and subjects the user, and any person responsible, to the criminal and civil penalties provided for by law.

As a result, users are forbidden to:

reproduce and/or use the trademarks and logos present on the platform,

copy, modify, translate, reproduce, distribute, sell, publish, exploit in any other way, and disseminate in another format, in electronic or other form, all or part of the content (even partially) present on the platform,

assign any right to all or part of the content to a third party.

10 - PERSONAL DATA

As part of the use of the SoGuide platform, GLOBE SECRET is required to collect and process personal data concerning Members, Travelers, and Guides.

These processing operations are carried out in accordance with the legal and regulatory provisions relating to the processing of personal data, and in particular, Law No. 78-17 of January 6, 1978, relating to data processing, files, and freedoms, amended by Law No. 2018-493 of June 20, 2018, Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016, on the protection of natural persons with regard to the processing of personal data and the free movement of such data (hereinafter referred to as the "GDPR"), as well as any other legislative or regulatory provision in force.

GLOBE SECRET undertakes to ensure that all personal information concerning Members collected through the account creation and update form (name, first name, email address, password, postal address) is considered confidential and is only used for the purpose of putting Travelers and Guides in touch with each other.

In accordance with the Data Protection Act of January 6, 1978, Members have a right to access, rectify, and object to the personal data concerning them.

Furthermore, the files and automated processing of personal data have been declared to the CNIL in accordance with the law.

11 - COOKIES

In general, a cookie records information relating to the navigation of internet users with their computers, mobile devices, or tablets on the SoGuide Platform.

GLOBE SECRET reserves the right to implant a cookie on the hard drive of the computer, mobile device, or tablet of all users connecting to the SoGuide platform. The pure and simple acceptance of cookies by users is essential for any consultation.

GLOBE SECRET uses "cookies" for the following reasons:

- to recognize the browser from one session to another so that the SoGuide platform remembers the preferences of Members. This allows, for example, passwords on the Platform to be stored and Members not to have to re-enter them each time. Although this is encrypted and never stored in plain text on GLOBE SECRET's servers or in its cookies.

- to measure the audience of our site and improve your experience. No personal data is shared with third parties.

- to offer Members an experience that is always better adapted to their expectations based on the navigation carried out on the SoGuide platform.

In no case is a correlation made between cookies and the personal information that GLOBE SECRET may hold.

12 - FORCE MAJEURE

GLOBE SECRET cannot be held responsible for the non-performance of its obligations in the event of force majeure (notably: flooding, fire, natural disaster, armed conflict, act of state, total or partial strike of postal services and means of transport and/or communication).

13 - APPLICABLE LAW - COMPETENT JURISDICTIONS

These terms of service and use are subject to French law. In the event of a dispute that cannot be resolved amicably, any dispute between GLOBE SECRET and the users and Members of the SoGuide platform falls within the exclusive jurisdiction of the French courts, depending on the location of GLOBE SECRET's headquarters.

If certain provisions of the terms of service and use are declared inapplicable by the competent court, the other provisions will not be affected and will retain all their force and scope.

The terms of service and use may be subject to modification, and users are invited to consult them regularly as well as to print them.
